MARAT KHASANOV, PARTNER OF THE COMPANY PARADIGMA, HAS COMMENTED ON THE ANALYTICAL REVIEW OF “DEADLOCK EQUALITY” THAT HIGHLIGHTS ISSUE OF EQUAL DISTRIBUTION OF SHARES IN A COMPANY FOR “COMMERSANT GUIDE” EDITION
Basing his opinion on PARADIGMA company’s practice and years of experience the expert explains that in corporate practice there are a number of institutions that are concerned with peaceful resolution of disputes. In fact these institutions have been established long time ago.
“For example in the agreement between shareholders it is possible to fix a well-known “Russian roulette”. It means that when a deadlock arises one shareholder shall send an offer to another shareholdertobuy his stock of shares for a certain price (the price and the procedure of determining the price must be set in the corporate agreement beforehand). In case the second shareholder refuses to accept the offer then he must sell his stock of shares to the first shareholder” – comments Mr Khasanov.
Also the expert notes that majority of the disputes of medium and large business are considered by international arbitration including London Court of International Arbitration. “This is due to the low level of corruption and practicality of the English legislation which is essential for enterpreneurship” – says Marat Khasanov, partner of the legal group Paradigma.
